1. Acceptance of Terms

By accessing and using Cogniive ("the Platform"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.

These Terms of Service constitute a legally binding agreement between you and Cogniive regarding your use of our AI learning platform, including all courses, challenges, tools, and related services.

2. Use License and Subscription

Permission is granted to access and use Cogniive for personal, educational, and professional development purposes. This includes:

  • Access to interactive courses and learning materials
  • Participation in challenges and exercises
  • Use of AI tools and prompt libraries
  • Earning and downloading certificates of completion

This license shall automatically terminate if you violate any of these restrictions. Upon termination, you must cease all use of the Platform and destroy any downloaded materials.

Subscriptions are billed on a recurring basis. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods.

3. User Account and Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is accurate and up-to-date

You must be at least 13 years old to use this Platform. Users under 18 should obtain parental consent before creating an account.

4. Intellectual Property and Content

All content on Cogniive, including courses, lessons, videos, images, text, graphics, logos, and materials, are the property of Cogniive and are protected by intellectual property laws including copyright and trademark laws.

You may not:

  • Reproduce, distribute, or sell any content from the Platform
  • Remove or modify any copyright notices or watermarks
  • Use content for commercial purposes without written permission
  • Share your account access with others
  • Attempt to reverse engineer or copy the Platform's functionality

Certificates earned through course completion may be shared and displayed for personal or professional purposes.

5. User Conduct

You agree not to:

  • Use the Platform for any unlawful purpose
  • Harass, abuse, or harm other users
  • Post or transmit malicious code or malware
  • Attempt to gain unauthorized access to any part of the Platform
  • Interfere with or disrupt the Platform's operation
  • Impersonate any person or entity
  • Collect or harvest user data without permission

6. Payment and Billing

Payment terms:

  • All fees are in USD and charged in advance
  • You authorize us to charge your payment method on a recurring basis
  • Prices are subject to change with 30 days notice
  • Refunds are handled on a case-by-case basis within 14 days of purchase
  • Failed payments may result in service suspension

You are responsible for all applicable taxes. Invoices and receipts are available in your account.

7. Service Availability and Modifications

We strive to maintain continuous service availability but do not guarantee uninterrupted access. We may:

  • Perform maintenance and updates without prior notice
  • Modify or discontinue features at our discretion
  • Suspend service for violations of these terms

Cogniive reserves the right to modify these terms at any time. Material changes will be communicated via email or platform notification. Continued use of the service following changes constitutes acceptance of those changes.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee:

  • Specific results from using our courses or materials
  • Error-free or uninterrupted service
  • The accuracy or completeness of any content
  • That the Platform will meet your specific requirements

Your use of the Platform is at your sole risk. While we strive for high-quality educational content, learning outcomes depend on individual effort and application.

9. Limitation of Liability

To the maximum extent permitted by law, Cogniive shall not be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Service interruptions or data loss
  • Third-party actions or content

Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

10. Termination

We may terminate or suspend your account immediately, without prior notice, for:

  • Violation of these Terms of Service
  • Fraudulent or illegal activity
  • Abuse of the Platform or other users
  • Non-payment of fees

Upon termination, your right to use the Platform ceases immediately. We may delete your account data, though earned certificates may remain accessible.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Cogniive operates, without regard to conflict of law provisions.

Any disputes arising from these terms or use of the Platform shall first be attempted to be resolved through good faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration rather than in court.

You agree to arbitration on an individual basis and waive any right to participate in class action lawsuits.
